Terms and Conditions

1. Scope and Applicability

1.1 These Terms and Conditions shall apply to all applications, agreements, and other legal or contractual arrangements between the Organizer and the Purchaser in relation to the Event and the Exhibition.

1.2 Any deviation from these Terms and Conditions shall only be valid if expressly agreed upon in writing between the Organizer and the Purchaser and shall be limited solely to the specific agreement to which such deviation relates.

1.3 In the event of any inconsistency between one or more provisions of the Agreement and these Terms and Conditions, the provisions of the Agreement shall prevail, unless expressly stated otherwise in the relevant provision of the Agreement.

1.4 These Terms and Conditions shall also apply to the activities and legal acts of third parties engaged by the Organizer for the performance of the Agreement.


2. Nature of the Exhibition, Right to Amend, and Force Majeure

2.1 The Exhibition is organized primarily for promotional and networking purposes within the healthcare and health tourism sectors. The Purchaser acknowledges and agrees that its participation, in the broadest possible sense, shall be consistent with these objectives.

2.2 The Organizer reserves the right, at its sole discretion and without liability to the Purchaser (or any co-exhibitors), to terminate or cancel the Agreement within two (2) weeks of its execution, including but not limited to circumstances where the suitability of the Purchaser for participation in the Exhibition is in doubt or where the Purchaser has outstanding debts owed to the Organizer.

2.3 The Organizer reserves the right at all times to modify the schedule, dates, duration, venue, location, format, or nature of the Event and the Exhibition whenever, in the Organizer’s sole judgment, such modifications are deemed beneficial to the Event and the Exhibition.

2.4 Should circumstances arise that render the Event and Exhibition impossible or impracticable to hold as planned, including but not limited to destruction of or damage to the venue, disruption of access due to strikes, war, natural disasters, government-declared emergencies, or any other cause beyond the reasonable control of the Organizer, the Organizer shall not be liable for any loss, damage, or claim for compensation, without prejudice to the cancellation provisions set forth in Article 8.


3. Obligations

3.1 The Purchaser undertakes to ensure that all co-exhibitors, employees, representatives, contractors, and any other persons acting on behalf of or in connection with the Purchaser or co-exhibitors are fully aware of and comply with these Terms and Conditions.

3.2 The Purchaser warrants that it and its co-exhibitors have obtained all licenses, permits, approvals, and authorizations required by law for lawful participation in the Exhibition, including those relating to their employees, representatives, and contractors.

3.3 Where the Purchaser appoints a stand construction contractor other than those approved or recommended by the Organizer, the Purchaser shall provide the Organizer with a security cheque in the amount of IRR 10,000,000,000. Such cheque shall serve solely as security for the proper performance of construction activities and the compensation of any damages. Provided that all activities are properly completed and no damage occurs, the cheque shall be returned to the Purchaser no later than one (1) week following the conclusion of the Event.


4. Space Allocation and Priority Rights

4.1 Exhibition space shall be allocated by the Organizer in accordance with its priority allocation system.

4.2 Any allocation of space or subsequent amendments made by the Organizer shall be binding upon the Purchaser.

4.3 If it becomes apparent that the Purchaser does not intend to utilize all or part of its allocated space, the Organizer may reassign such space to another party without affecting the Purchaser’s obligation to pay the full applicable fees and without creating any entitlement to a refund.


5. Registration of Representatives

5.1 All employees, representatives, contractors, and other personnel of the Purchaser attending the Exhibition must be registered and shall provide any documents or personal information reasonably requested by the Organizer.


6. Installation, Occupation, and Dismantling

6.1 The Purchaser shall only install, occupy, and dismantle its stand and equipment during the dates and times designated by the Organizer and shall comply with all applicable health, safety, environmental, and venue regulations. The allocated space must be returned in the same condition in which it was delivered. Any additional cleaning, repair, or restoration costs shall be borne by the Purchaser.

6.2 The Purchaser shall appoint a representative authorized to enter into service agreements necessary for installation and dismantling activities. At least one representative of the Purchaser must be present throughout the installation period, the Event, and the dismantling process.

6.3 The Purchaser shall be solely responsible for the security, maintenance, and condition of all its equipment, materials, and property at the venue. The Organizer shall bear no responsibility whatsoever for the loss, theft, damage, or malfunction of the Purchaser’s property at any stage of the Event or Exhibition.


7. Fees, Invoicing, and Payment

7.1 The Organizer shall charge fees for exhibition space and/or participation in the Event in accordance with the invoice details specified in the Agreement, or as separately set out in an invoice or pro forma invoice. Upon the Purchaser’s request for an official tax invoice, the Organizer shall issue and register such invoice within the relevant governmental tax system following receipt of full payment. Charges for any additional goods or services ordered by the Purchaser shall be invoiced separately.

7.2 All amounts stated in the Agreement are denominated in Iranian Rials (IRR).

7.3 Payments shall be made no later than the due date specified on the invoice unless otherwise agreed in writing.

7.4 In the event of late payment, the Purchaser shall automatically be deemed in default without the need for prior notice or judicial intervention. In such circumstances, the Organizer may reassign the allocated stand to another party and demand immediate payment of all outstanding amounts. The Purchaser shall be liable for all legal and collection costs incurred by the Organizer and shall have no entitlement to any refund of amounts previously paid. The Organizer may apply any payments received from the Purchaser toward outstanding debts owed to the Organizer or its affiliated entities.

7.5 Any costs relating to hospitality, meals, refreshments, or similar services shall be borne exclusively by the Purchaser, and the Organizer shall have no obligation to provide such services unless otherwise expressly agreed in writing.


8. Cancellation Policy

8.1 Should the Purchaser wish to cancel a stand reservation made pursuant to the Agreement or following any payment or deposit, the Purchaser must submit a written cancellation request to the Organizer. The Organizer shall accept such cancellation subject to payment of the applicable cancellation fee calculated in accordance with the provisions below.

8.2 If the cancellation request is received after the applicable deadline, no refund shall be payable. The Purchaser shall immediately pay any outstanding balance shown on the invoice. Failure to do so may result in exclusion from future events organized by the Organizer until all outstanding amounts have been settled. Upon cancellation, the Organizer shall be entitled to re-use or reallocate the cancelled space, including assignment to another exhibitor, without any obligation to compensate the cancelling Purchaser.

8.3 Cancellation fees shall be calculated as follows:

  • Cancellation before 31 May 2026: 20% of the total participation fee.

  • Cancellation between 31 May 2026 and 20 June 2026: 50% of the total participation fee.

  • Cancellation on or after 20 June 2026: 100% of the total participation fee.

Note: If the date of the Event or Exhibition is changed for any reason, the Organizer shall notify the Purchaser of the revised cancellation policy. Such revised policy shall replace the previous cancellation terms and shall become effective upon notification.
